Terms of Service
These Terms of Service ("Terms") govern all mobile coffee cart bookings with Sora Coffee Inc. ("Sora Coffee," "we," "us," or "our"). By submitting a retainer payment or accepting an invoice for a booking, the client ("Client," "you") agrees to be bound by these Terms, together with the applicable proposal and invoice.
1. Services
Sora Coffee Inc. agrees to provide mobile coffee catering services for the event described in the booking proposal, which may include:
Espresso-based beverages
Milk options and syrups as outlined
Professional barista service
Equipment, setup, and breakdown
Optional add-on services as selected in the proposal
Services will be provided for the duration specified in the proposal.
2. Payment Terms
A non-refundable retainer equal to 50% of the total booking fee is due upon accepting the proposal or invoice.
The remaining 50% balance is due no later than 14 days prior to the event date.
Payments may be made electronically through HoneyBook or via email money transfer (e-transfer) to hello@soracoffee.ca, unless otherwise agreed in writing.
All fees are exclusive of applicable taxes (including HST) unless otherwise stated in the proposal or invoice.
Failure to submit payment by the required deadlines may result in cancellation of services without refund.
3. Cancellation & Rescheduling
The 50% retainer is non-refundable under all circumstances.
Cancellations made within 14 days of the event are non-refundable but may be eligible for rescheduling, subject to availability and at Sora Coffee Inc.'s discretion.
Cancellations made more than 14 days prior to the event will receive a refund of any fees paid, excluding the non-refundable retainer.
If Sora Coffee Inc. is unable to perform the agreed services due to circumstances within its reasonable control (e.g., equipment failure or staffing issues, excluding Force Majeure events under Section 11), Client will be entitled to a full refund of all amounts paid or, at Client's option, rescheduling to an available date.
4. Event Requirements & Client Responsibilities
Client agrees to provide:
Adequate space for setup and operation
Safe and unobstructed access to the event location
Access to standard electrical power unless otherwise arranged
A safe environment for staff and equipment
Easy access for loading, unloading, and setup
Sora Coffee Inc. supplies its own water for service and does not require a water source from the venue, unless otherwise requested by Client.
Sora Coffee Inc. requires approximately 90 minutes prior to service start for setup and preparation.
If required conditions are not met, Sora Coffee Inc. may limit or suspend service without refund.
5. Guest Count
Client shall provide Sora Coffee Inc. with an estimated guest count at the time of booking, which will be used to determine staffing, product quantities, and pricing as reflected in the proposal.
Client must confirm the final guest count no later than 7 days prior to the event.
Increases to the guest count after this date are subject to product and staffing availability and may incur additional charges, to be confirmed with Client in writing.
Sora Coffee Inc. is not responsible for product shortages resulting from actual attendance materially exceeding the confirmed guest count.
6. Overtime
Service beyond the agreed event duration is subject to availability and billed at a rate of $300 per hour, calculated in increments as outlined in the invoice or proposal.
Overtime must be approved on-site by the Client or the Client's authorized representative and is payable via invoice following the event unless otherwise agreed in writing.
7. Insurance, Damage & Liability
Sora Coffee Inc. maintains commercial general liability insurance. A Certificate of Insurance (COI) will be provided to the Client or venue upon request.
Client is responsible for any damage to equipment caused by guests, venue staff, or unsafe conditions.
Sora Coffee Inc. is not responsible for:
Allergic reactions (Client should advise Sora Coffee Inc. of any known guest allergies in advance; reasonable efforts will be made to accommodate)
Spills or minor property damage caused by guests
Power failures or venue-related issues
Each party agrees to indemnify and hold the other harmless from third-party claims, damages, or expenses arising from its own negligence or willful misconduct in connection with these Terms.
Sora Coffee Inc.'s total liability under these Terms, however arising, shall not exceed the total fees paid by Client.
8. Menu & Service Substitutions
Certain menu items, milk options, syrups, or ingredients may be substituted with comparable alternatives due to supply availability or unforeseen circumstances. Sora Coffee Inc. will make reasonable efforts to maintain the agreed-upon menu experience.
9. Add-On & Customization Finalization
All add-ons, custom drinks, branded elements, and final menu selections must be confirmed no later than 7 days prior to the event.
Any custom branding files (e.g., logos) must be provided at least 10 days prior to the event in vector file format (e.g., .AI, .EPS, or .SVG). Sora Coffee Inc. is not responsible for delays or reduced quality of branded elements resulting from late submission or non-vector file formats.
10. Weather & Outdoor Events
For outdoor events, service is weather permitting. Client must provide a suitable alternate indoor location (or fully covered area protecting staff, guests, and equipment) to be used in the event of inclement weather.
If no adequate alternate location is available and weather conditions are unsafe for operation (including but not limited to heavy rain, lightning, extreme heat or cold, or high winds), Sora Coffee Inc. reserves the right to limit, delay, or suspend service without refund, subject to Section 3 (Cancellation & Rescheduling) and Section 11 (Force Majeure).
Any decision to move service to the indoor alternate location due to weather should be made jointly by Client and Sora Coffee Inc. as early as possible, and ideally confirmed in advance of the event.
11. Force Majeure
Sora Coffee Inc. shall not be held liable for failure to perform due to circumstances beyond reasonable control, including but not limited to:
Severe weather
Power outages
Venue restrictions
Government regulations or emergencies
In such cases, reasonable efforts will be made to reschedule where possible.
12. Safety & Right to Refuse Service
Sora Coffee Inc. reserves the right to suspend or terminate service if conditions become unsafe, including harassment, overcrowding, or hazardous environments, without refund.
13. Photo & Video Use
Client grants Sora Coffee Inc. permission to capture photos or short videos of the setup and service for marketing purposes, unless otherwise requested in writing prior to the event.
14. General Provisions
Assignment: These Terms may not be assigned by either party without the prior written consent of the other party.
Notices: All formal notices under these Terms, including cancellations, must be delivered in writing by email to the contact address provided in the proposal.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
Changes to these Terms: Sora Coffee Inc. may update these Terms from time to time. The version in effect at the time Client submits a retainer payment will govern that booking.
15. Entire Agreement
These Terms, together with the associated proposal and invoice, constitute the entire agreement between both parties and supersede all prior discussions.
Any amendments must be agreed upon in writing.
16. Governing Law
These Terms shall be governed by the laws of the Province of Ontario, Canada.
